Terms of business

Last updated: 18 October 2026

1. About these terms

1.1 These terms apply to every engagement between Saynor MedTech Ltd, trading as Saynor Sales Solutions (company number 16760484, registered office 136 West Bar, Sheffield, South Yorkshire, S3 8PN) ("we", "us") and the client named in the letter of engagement ("you").

1.2 Each engagement is made up of these terms and a letter of engagement setting out the services, the fees and the timetable. If they conflict, the letter of engagement takes priority.

1.3 Our services are provided only to businesses. By engaging us, you confirm that you are acting for the purposes of your trade, business or profession and not as a consumer.

2. Our services

2.1 We provide sales consultancy, sales training, sales management and revenue marketing services as described in the letter of engagement, with reasonable skill and care.

2.2 We are a sales consultancy. We are not a law firm and do not give legal advice. We are not authorised by the Financial Conduct Authority and do not give regulated financial advice.

2.3 We will do our best to improve your sales results, but results depend on matters outside our control, including your market, your team and how you apply our recommendations. We do not guarantee any particular level of sales, revenue or profit.

3. Business funding introductions

3.1 Through our partnership with JK Commercial Savings Ltd, we introduce businesses to commercial funding provided by 365 Finance. We are not a lender, we do not decide whether funding is offered, and we do not arrange consumer credit.

3.2 Funding is subject to status and lender criteria. We cannot guarantee approval, the amount offered or the terms. The lender aims to give a decision within hours of receiving a complete application. A decision is not a payment, and the time to receive funds after acceptance is separate.

3.3 Any funding agreement is between your business and the lender, on the lender's terms. Read them carefully, and take independent advice if you need it, before you sign.

3.4 We and JK Commercial Savings Ltd receive commission from the funding provider when funding completes. We will tell you about this before you apply, and give you more details on request.

3.5 There is no charge to your business for a funding introduction unless we agree otherwise in writing.

4. Your responsibilities

4.1 You will give us accurate and complete information, timely decisions and reasonable access to the people, premises and systems we need.

4.2 If you do not, we may change the timetable or charge for extra time at our standard day rate.

5. Fees and payment

5.1 Our fees are set out in the letter of engagement. Fees are exclusive of VAT, which is added where applicable, and of reasonable expenses agreed with you in advance.

5.2 Invoices are payable within 14 days of the invoice date. We may charge interest and compensation on late payments under the Late Payment of Commercial Debts (Interest) Act 1998, and may pause the services while an invoice is overdue.

5.3 If you postpone or cancel a training day or workshop with less than 10 working days' notice, we may charge 50% of the fee for that day; with less than 3 working days' notice, the full fee.

6. Confidentiality

6.1 Each of us will keep confidential the other's business information received during an engagement, and use it only for the engagement. This does not apply to information that is public, already known to the recipient, or required to be disclosed by law.

6.2 We will not name you as a client or publish your results without your written permission.

7. Intellectual property

7.1 Once you have paid for them, you own the materials we create specifically for you, such as your sales playbook, scripts and templates.

7.2 We keep ownership of our methods, know-how, training programmes and general materials, including anything we owned before the engagement. We grant you a non-exclusive, non-transferable licence to use them within your own business.

8. Data protection

8.1 Each of us will comply with UK data protection law. Where we process personal information on your behalf, we will do so only on your documented instructions and under a data processing agreement, which forms part of the letter of engagement.

8.2 Our privacy notice explains how we use personal information as a controller.

9. Liability

9.1 Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited or excluded by law.

9.2 Subject to clause 9.1, we are not liable for any loss of profit, revenue, business, goodwill or anticipated savings, or for any indirect or consequential loss.

9.3 Subject to clause 9.1, our total liability arising from or in connection with an engagement, whether in contract, tort (including negligence) or otherwise, is limited to the fees paid for that engagement in the 12 months before the claim arose.

10. Ending an engagement

10.1 Either of us may end an engagement by giving 30 days' written notice, unless the letter of engagement says otherwise.

10.2 Either of us may end an engagement immediately by written notice if the other commits a serious breach that is not put right within 14 days of being asked to, or becomes insolvent.

10.3 When an engagement ends, you will pay for services provided and expenses incurred up to the end date.

11. Events outside our control

Neither of us is liable for delay or failure caused by events outside our reasonable control. If that happens, we will agree new dates.

12. General

12.1 These terms and the letter of engagement are the entire agreement between us about the engagement.

12.2 Changes are valid only if agreed in writing by both of us.

12.3 Neither of us may transfer the engagement without the other's written consent.

12.4 If any part of these terms is found to be unenforceable, the rest remains in force.

12.5 No one other than you and us has any right to enforce these terms under the Contracts (Rights of Third Parties) Act 1999.

12.6 Notices must be in writing and sent by email or post to the addresses in the letter of engagement.

13. Law and jurisdiction

These terms, and any dispute arising from them, are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
